Electronic Discovery, Governance, Risk Management and Compliance - Relationship Study

Governance, risk management and compliance (GRC), records and information management(RIM) and electronic discovery (E-Discovery) are three of the information management compliance (IMC) topics most written about, talked about, and blogged today. It appears that these three overlapping disciplines are driving significant organizational change, policy and procedure development and technology investment. But, what do these concepts really mean? More importantly, how do these concepts affect you and your business?

Kahn Consulting, Inc., in association with ARMA International, BNA Digital Discovery and E-Evidence, Business Trends Quarterly, and the Society of Corporate Compliance & Ethics, created and distributed a survey to over 400 organizations in fall 2008.

This groundbreaking survey was the first to take an integrated view of these three critical disciplines. The purpose of the survey was to gain an industry perspective on:
- Maturity of programs in each area
- Major challenges that organizations face in each area
- Industry views on the relationship between the three areas

Key Survey Findings
The great majority of companies are active in the three areas. Around 90% of the respondents indicated that their companies were addressing GRC, RIM and electronic discovery issues. Nearly 70% had or expected to make major changes in those areas within eighteen months.

Most companies are addressing policy areas first. Most firms working on e-discovery or GRC are making policy related changes, such as developing legal hold policies or engaging in a source mapping exercise. Externally focused activities, such as purchases of e-discovery tools or matter management software, are reported less frequently.

TechLit Solutions Receives $1 Million in Start-up Funding

Members of the Delhi-based Indian Angel Network (IAN) have acquired a 20 percent stake in US-based legal process outsourcing (LPO) venture TechLit Solutions for $1 million, valuing the start-up at $5 million. Techlit was started in January 2008 by Neal Gupta (who is also a member of IAN) along with the co-founders of Aptara, a US headquartered firm which offers composition and publication services to publishers of books and journals.

IAN is a Delhi based angel investing forum formed by a group of individuals investors. The investment is done at the personal level of the investors. In TechLit, investors like Rohit Chand (Axis IT&T, IIS Infotech), Rajan Anandan, former Dell chief in India and currently Microsoft MD in India, Avinash Singh (CEO & MD of Excel Ventures), and Ajay Garg (founder of Equirus Capital) have invested.

IBM Unveils eDiscovery ECM Tool for Law Firms

IBM has announced the release of new enterprise content management (ECM) software specifically designed to meet the needs of clients dealing with complex legal discovery requirements. The company's eDiscovery solutions expand on IBM's ECM platform used to manage digitally stored documents, with an eye toward streamlining the discovery process and reducing costs.

According to IBM, the new software provides a variety of automated processes, including collecting, searching and classifying critical data across a variety of content sources, as well as the ability to track changes. The main component of the solution is IBM's eDiscovery Manager, which allows authorized individuals to search for, and retrieve, key documents.

"The explosion of electronic content presents challenges for organizations to retain and produce information efficiently and accurately when needed," said Ken Bisconti, vice president, product and strategy, IBM Enterprise Content Management, in a prepared statement. FTI Plans IPO of Tech Division

FTI Consulting Inc. plans IPO of its fast-growing technology division, potentially bringing the Baltimore company hundreds of millions of dollars to position itself for another round of acquisitions.

FTI Consulting, Inc. (NYSE: FCN) announced today its intention to sell a minority interest in its Technology business in an initial public offering (IPO). The Company expects to receive between $600 million and $700 million from such sale. The proceeds from the offering will be used primarily to retire existing indebtedness of FTI. A portion of the proceeds may also be retained by the Technology business to be used for general corporate purposes.

If the IPO is consummated, the Company’s present intention is to distribute its remaining interest in the Technology business to FTI’s stockholders through a spinoff, splitoff or a combination of these transactions within twelve months after the completion of the IPO. Interwoven to Acquire eDiscovery Innovator Discovery Mining, Inc.

FTI Consulting, Inc. to Acquire Attenex Corporation

New York, NY -- June 10, 2008 -- FTI Consulting, Inc. Integreon plans three more buys for $100 million

BANGALORE -- 10 Jun, 2008 -- Knowledge process outsourcing (KPO) firm Integreon Managed Solutions, which recently acquired litigation support and electronic data discovery provider Datum Legal, plans to buy one more company by the end of this year and two others in the next 2-3 years spending a total of $100 million.

“The range is going to be bigger as we are growing. We will acquire another company by the end of this year,” Vice President (Knowledge Business Administration and Professional Document Services) Lokendra Tomar said. Integreon is evaluating possible buys in India, Europe and the US.

Datum, the Los Angeles-based company’s fifth acquisition, was bought for $20-$25 million, according to industry analysts and based on Integreon’s publicly stated intentions in the past.

It plans to hire 6,000 people in three years, majority of them in India. The company currently has 2,000 staff, 1,500 of them at its centres in Mumbai and Delhi. More than 500 of its employees are lawyers.

...An IPO and listing on the Nasdaq are also on the cards, mostly probably in 2010-11, when it expects revenues to touch $250 million. “In three years more than 50% of the growth will be organic and the rest through acquisitions,” he said.

This investment opportunity was sent to me by a business broker representing a west coast electronic discovery software company that is looking to sell the business. The company believes they would be a good acquisition target for an email/data archiving company or a national litigation support/e-discovery provider that would like to have its own e-discovery processing/production and review platform. Currently, they are open to acquisition by a larger company that would provide sales and support infrastructure or a strategic investment that would allow them to build out their own infrastructure. Summary

Mimosa Receives $17 Million in Funding

Archiving specialist Mimosa has scored $17 million in funding to expand its global presence and overhaul its NearPoint software.

The round, which was led by Focus Ventures, also included August Capital, Clearstone Venture Partners, and Mayfield Fund. It brings Mimosa’s total funding to $51.5 million.

“We’re using this money primarily for global expansion,” says T.M. Ravi, the Mimosa CEO, explaining that the vendor will be targeting the U.K., Germany, China, Australia, and Japan. “It’s to add sales, pre-sales support, and professional services staff in all regions.”

As part of this effort, Mimosa will add up to 45 employees to its 185-strong workforce by the end of the year, according to the CEO.

The vendor is also planning to open up its NearPoint offering to third-party applications later this year. By opening up the software’s APIs, T.M. Ravi expects to boost the product’s ediscovery capabilities.

“There’s literally 50 to 75 product and services vendors in ediscovery,” he says, explaining that this ranges from content analysis to legal case management. The exec would not reveal which vendors will be part of this effort, although potential candidates could include the likes of Kazeon, which recently introduced software for early case and risk assessment.

Aptara Being Courted by Large Indian BPO & IT Players

Here is an interesting article about Aptara, whom recently sold off its litigation support division to Ivize. Aptara, who changed its name from Tech Books in 2007, had gotten into the litigation support services business by purchasing Whitmont Legal Technologies.

MUMBAI: A couple of large buyout funds, foreign strategic players and Indian IT & BPO players, including Infosys Technologies, are learnt to be in the race for Aptara, a third-party BPO in technology publishing. Promoted by US-based Indian, Rakesh Gupta, the firm is one of the oldest and established players in the industry, having started in 1988.

No official confirmation was available, but sources said six players have been shortlisted and the sale could be concluded in a couple of weeks. Avendus Advisors is advising the firm on the sale process. The final deal could be around $150 million, a source said.

Till recently, known as Techbooks, the company changed its name to Aptara in 2007 to reflect its intent to diversify into services outside its core publishing and content business.

...last year, the firm also diversified into legal services by acquiring Whitmont Legal Technologies, a litigation support firm. According to information in public domain, the company has grown from about Rs 247 crore in revenues in 2005-06 to Rs 336 crore in 2006-07.

HP is Expanding its Capabilities in Fast-growing e-Discovery and Compliance Software Market by Acquiring Tower Software

PALO ALTO, Calif., March 31, 2008 -- HP and Tower Software today announced that they have signed a pre-bid agreement for HP to acquire Tower, a document and records management software company based in Canberra, Australia.

The deal will enable HP to expand its offerings in the fast-growing electronic discovery and compliance software market.

The acquisition of Tower will add electronic records management to HP Software’s existing e-discovery and compliance capabilities in information collection and retention. This includes both records management and identification,(1) which have become increasingly important for organization due to rules and regulations such as the Federal Rules of Civil Procedure, the Sarbanes-Oxley Act and the Data Protection and Freedom of Information Acts.

Under an existing alliance between the companies, Tower TRIM Context has been integrated with the HP Integrated Archive Platform to provide customers with a combined records management and compliance archiving solution.

Combining HP’s and Tower’s overall software capabilities will enable customers to rapidly identify electronic business records from general business communication, collect those business records in a scalable and high-performance archive platform and preserve them for long-term future use in legal discovery or compliance activities.

Gartner evaluated 29 vendors across a number of criteria such as: Market Understanding, Innovation, Market Responsiveness and Track Record, Offering (Product) Strategy, Business Model, Customer Experience, Marketing Strategy and then rated them based on their findings.

Inclusion and Exclusion Criteria
To be included in the final published report, a vendor must meet
the following criteria: Have an IT targeted tool or tools that enable the identification, preservation collection and initial processing of files requested by a legal or compliance officer to cover the steps of RM, identification, preservation, collection and processing of the electronic discovery reference model (EDRM).

OR
Have software that enables legal personnel to review documents and process them more quickly, shows relationships between documents or persons mentioned in or originating documents – or any other functionality that can be shown to reduce attorney review time to cover in covering the processing, review, analysis,
production and presentation steps of the EDRM.

AND

Anacomp Receives $8 Million in New Financing
